Mint Agent Inc Terms of Service

Welcome to Mint Agent Inc. These Terms of Service (“Terms”) govern your access to and use of MintAgent.com and any related websites, applications, software, grading services, digital records, products, features, content, and services offered by Mint Agent Inc (“Mint Agent,” “MAI,” “we,” “us,” or “our”).

These Terms also govern your purchase and use of MAI Credits, MAI Photo Grading, MAI Asset Holders, Custom Grade Labels, photography equipment, and other accessories or physical products offered by MAI.

Please read these Terms carefully. Our Privacy Policy, Return Policy, product-specific terms, promotional terms, and other policies we post are incorporated into these Terms by reference.

IMPORTANT NOTICE REGARDING ARBITRATION AND CLASS ACTIONS: EXCEPT WHERE PROHIBITED BY LAW OR WHERE YOU TIMELY OPT OUT, THESE TERMS REQUIRE MOST DISPUTES BETWEEN YOU AND MAI TO BE RESOLVED THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT AND INCLUDE A WAIVER OF JURY TRIALS AND CLASS OR REPRESENTATIVE ACTIONS. PLEASE REVIEW SECTION 25 CAREFULLY.

By creating an account, purchasing a product or service, submitting photographs or other content, obtaining an MAI Photo Grade, activating an MAI record, or otherwise using the Services, you agree to these Terms.

If you do not agree, do not use the Services.

Mint Agent provides photo-based identification, condition grading, visual counterfeit screening, digital record creation, and related tools for physical collectibles.

Supported collectibles may include coins, casino chips, medals, tokens, bullion, and other collectible assets that MAI elects to support from time to time.

Among other offerings, MAI may provide:

• MAI Photo Grading, which analyzes photographs of a collectible and provides identification, condition information, an MAI grade, details, observations, and other automated or AI-assisted results;
• Counterfeit Screening, which analyzes visible characteristics in submitted images for signs potentially associated with counterfeits, alterations, reproductions, replicas, or other authenticity concerns;
• MAI Records, including serial-numbered digital records containing photographs, grades, descriptive information, and other information relating to a collectible;
• MAI Asset Holders and Custom Grade Labels, which may display an MAI grade, MAI serial number, QR code, and related information;
• MAI Credits, which may be purchased or awarded and used to obtain eligible MAI services; and
• Accessories and physical products, including photography, lighting, positioning, storage, handling, and other collectible-related products.

MAI may add, modify, limit, suspend, or discontinue any feature, service, supported collectible category, product, grading methodology, or functionality.

You must be at least 18 years old and legally capable of entering into a binding agreement to create an MAI account or make purchases directly from MAI.

A person under 18 may use the Services only through an account created, controlled, and supervised by a parent or legal guardian where permitted by law.

If you use MAI on behalf of a company, dealer, auction house, marketplace seller, trust, organization, or other legal entity, you represent that you have authority to bind that entity to these Terms.

You agree to provide accurate and current account information and to safeguard your login credentials.

You are responsible for activity occurring through your account, including submissions and purchases made by anyone to whom you provide access.

Notify MAI promptly if you believe your account has been compromised.

An MAI Photo Grade is an opinion concerning the apparent identity and condition of a collectible based primarily on photographs and other information available to MAI at the time of analysis.

MAI does not ordinarily take physical possession of or physically inspect a collectible as part of Photo Grading.

Accordingly, MAI may be unable to evaluate characteristics that are not visible or reliably measurable from the submitted photographs. These may include, depending on the collectible:

• weight;
• exact diameter or thickness;
• metal composition or fineness;
• edge characteristics not photographed;
• internal composition;
• surface characteristics obscured by lighting, glare, toning, holders, dirt, damage, or photographic processing;
• alterations not visible in the images;
• tactile characteristics;
• magnetic, acoustic, chemical, or metallurgical properties;
• concealed repairs or tooling; or
• other characteristics requiring physical testing or examination.

Photo Grade results depend materially on photograph quality, lighting, focus, exposure, resolution, angle, orientation, color reproduction, glare, cropping, image compression, surface visibility, and the accuracy of information supplied by the user.

Two photographs of the same collectible may therefore produce different observations or results.

Grading is an opinion.

Collectible grading involves judgment. Reasonable graders, grading companies, dealers, collectors, automated systems, or the same grading system at different times may reach different conclusions concerning a collectible.

An MAI grade does not guarantee that:

• another grading company will assign the same grade;
• a dealer, buyer, marketplace, auction house, insurer, or collector will agree with the grade;
• a collectible will receive the same grade if later physically submitted to another grading company;
• a future MAI analysis will produce the identical result; or
• the grade will result in any particular market value or sale price.

Where MAI uses terminology derived from commonly recognized collectible grading scales, such use does not mean that an MAI grade is issued by, equivalent to, accepted by, or guaranteed to correspond with a grade issued by any particular third-party grading company.

MAI Photo Grading is a photo-based grading service. It is not a substitute for physical inspection or professional third-party certification where those services are appropriate for a particular collectible or transaction.

MAI uses artificial intelligence, machine learning, computer vision, databases, statistical methods, deterministic software, proprietary rules, third-party technologies, and other automated systems in providing portions of the Services.

Automated systems can make mistakes.

You acknowledge that AI-generated or automated outputs may contain inaccuracies, incomplete information, incorrect identifications, incorrect varieties or attributions, incorrect condition assessments, false positive warnings, false negative warnings, or other errors.

MAI may change its models, prompts, algorithms, reference data, grading rules, thresholds, training methods, or other technologies over time.

A change in technology or methodology does not necessarily require MAI to regrade or modify previously issued records.

MAI may nevertheless correct, supplement, annotate, supersede, or reprocess an existing result when MAI determines that doing so is appropriate.

You should independently evaluate information that is material to a significant purchase, sale, insurance decision, appraisal, legal matter, or professional grading submission.

MAI may screen submitted photographs for visible signs associated with counterfeiting, alteration, reproduction, replicas, fabricated pieces, incorrect design characteristics, or other authenticity concerns.

This is a screening service based on information visible or reasonably inferable from the submitted images and available reference information.

Counterfeit Screening is not a physical authentication guarantee.

A result indicating that MAI did not identify visible counterfeit indicators does not establish that a collectible is genuine.

Likewise, a result identifying a possible counterfeit indicator, questioned characteristic, inconsistency, or authenticity concern does not necessarily establish that a collectible is counterfeit.

False positives and false negatives are possible.

Sophisticated counterfeits, alterations, deceptive reproductions, altered surfaces, added or removed mintmarks, repaired pieces, castings, plated pieces, modified casino chips, and other deceptive objects may require physical inspection, metallurgical analysis, measurement, provenance research, specialist examination, or other testing that cannot be performed from photographs alone.

MAI results are not forensic reports and are not intended as legal conclusions regarding fraud, criminal conduct, ownership, or the intent of any buyer, seller, manufacturer, or prior owner.

MAI may provide information such as:

• country or issuing authority;
• denomination;
• date;
• mintmark;
• type;
• variety;
• issue;
• composition;
• dimensions;
• casino;
• casino location;
• chip denomination;
• catalog reference;
• mint error or variety indicators;
• estimated era;
• visible characteristics; or
• other descriptive information.

Such information may be derived from submitted images, user information, databases, reference materials, third-party sources, automated analysis, or combinations of these sources.

Identification and attribution can be affected by visually similar issues, incomplete or incorrect reference information, indistinct dates or mintmarks, altered pieces, varieties with small diagnostic differences, image quality, and other factors.

Unless MAI expressly offers a particular attribution as a separately guaranteed service, identification, variety, error, composition, measurement, rarity, and other descriptive information is provided subject to the same limitations applicable to other MAI outputs.

Unless MAI expressly states otherwise for a separately identified service, MAI does not provide certified appraisals, investment advice, financial advice, tax advice, legal advice, insurance valuations, or guaranteed market valuations.

Any price information, scarcity information, sales information, comparable sales, market estimates, or other value-related information provided through MAI is informational and may be incomplete, delayed, inaccurate, or affected by changing market conditions.

Collectibles can be illiquid and their prices can change substantially.

You remain responsible for determining whether to buy, sell, hold, insure, professionally grade, authenticate, or otherwise transact in a collectible.

You are responsible for the photographs and information you submit.

You represent and warrant that:

1. you own the submitted photographs or have sufficient rights and permission to submit them to MAI;

2. you have the right to submit the depicted collectible for analysis;

3. information you provide about the collectible is accurate to the best of your knowledge;

4. photographs presented as opposite sides or additional views of the same collectible actually depict the same collectible;

5. you will not knowingly submit materially deceptive or manipulated images; and

6. you will not use the Services to perpetrate or facilitate fraud.

Ordinary adjustments such as cropping, rotation, and reasonable exposure correction may be acceptable when they do not materially change the appearance or characteristics of the collectible.

You must not submit images that use generative AI, retouching, cloning, compositing, filters, digital reconstruction, or other manipulation to add, remove, conceal, create, or materially change collectible characteristics.

MAI may reject photographs, request replacement photographs, decline to issue a grade, mark a result as uncertain, or limit a result where the available evidence is insufficient.

MAI may use automated tools to detect image manipulation or inconsistencies.

A completed Photo Grade may create a digital record associated with a unique MAI serial number.

Depending on the Service, a record may contain:

• submitted photographs;
• processed or cropped photographs;
• identification;
• grade;
• details or condition information;
• counterfeit-screening observations;
• serial number;
• activation information;
• timestamps;
• QR-linked information; and
• other information concerning the collectible.

Public Records

Certain MAI records are designed to be publicly accessible.

By creating such a record, you understand that photographs of the collectible and information associated with the record may be viewable by people who do not have an MAI account.

Do not submit photographs containing private documents, people, addresses, financial information, confidential information, or other content you do not want associated with a public collectible record.

A public MAI record is intended to remain associated with the collectible rather than with a particular marketplace transaction or account holder.

For that reason, an MAI record may remain accessible after the collectible has been sold or transferred and may remain accessible after the original submitter closes an MAI account.

Persistent Does Not Mean Guaranteed Forever

MAI designs its records to provide persistent access, but MAI does not guarantee that any record, photograph, QR destination, serial lookup, or other information will remain available forever, without interruption, or in its original format.

MAI may migrate records to new systems, modify record formats, correct records, consolidate duplicate records, add historical information, suspend records, or remove information where appropriate for technical, legal, fraud-prevention, privacy, intellectual-property, or security reasons.

A Record Is Not Proof of Title

An MAI record does not establish:

• legal ownership;
• good title;
• provenance;
• lawful acquisition;
• chain of custody;
• lien status;
• whether a collectible was stolen;
• whether a seller has authority to sell it; or
• whether the person presenting the collectible is the person who originally submitted it.

MAI may sell an optional MAI Asset Holder + Custom Grade Label associated with an MAI record.

Unless expressly stated otherwise in product specifications, an MAI Asset Holder is removable and is not a permanently sealed or tamper-evident third-party grading encapsulation.

The fact that a collectible is located in an MAI Asset Holder does not itself establish that the collectible currently inside the Holder is the same collectible originally Photo Graded.

Holder Activation

MAI may allow a user to photograph a collectible inside an MAI Asset Holder and compare that photograph with photographs associated with the original MAI record.

If MAI determines that the images are visually consistent under its then-current criteria, MAI may activate or update the associated record.

Activation is a point-in-time visual comparison. It is not a continuous chain-of-custody system and is not a guarantee that substitution, removal, alteration, or tampering cannot occur later.

A Holder, label, QR code, or serial number may potentially be removed, copied, photographed, altered, damaged, counterfeited, or separated from the collectible.

Users and purchasers should therefore check the current MAI record and independently inspect the collectible when circumstances warrant.

Handling Risk

You are responsible for safely inserting, removing, photographing, storing, transporting, and handling your collectible.

MAI does not take custody of a collectible merely because you purchase or use a Holder.

Unless specifically represented in the applicable product specifications, MAI does not represent that a Holder is airtight, watertight, fireproof, impact-proof, tamperproof, chemically inert, archival, theft-resistant, or suitable for every collectible or long-term conservation environment.

Environmental conditions, improper handling, contaminants, moisture, temperature, storage materials, and other factors may affect collectibles.

MAI may sell photography towers, light boxes, stands, lighting systems, adapters, backgrounds, holders, positioning equipment, and other accessories.

You are responsible for following applicable instructions and safely using those products.

No photography accessory guarantees that a submitted image will be accepted for grading or that use of the accessory will result in a particular grade, identification, counterfeit-screening outcome, or image quality.

Product photographs, dimensions, specifications, compatibility information, and descriptions are provided in good faith but may be updated.

You are responsible for determining whether a product is appropriate for your device, collectible, workflow, or intended use.

MAI is independent of third-party marketplaces, auction houses, grading companies, dealers, and payment services unless MAI expressly states otherwise.

An MAI Photo Grade, record, Asset Holder, serial number, or QR code does not mean that MAI is approved, recognized, sponsored, endorsed, or accepted by any particular marketplace.

Third-party marketplaces and auction houses establish their own rules regarding:

• third-party grading companies;
• use or display of numeric grades;
• graded collectible terminology;
• photographs of labels or holders;
• external links;
• QR codes;
• authenticity claims;
• certification terminology; and
• listing categories or requirements.

You are solely responsible for complying with the rules applicable to every marketplace or venue where you list, advertise, transfer, or sell a collectible.

MAI does not guarantee that a marketplace will permit an MAI grade, label, Holder, photograph, serial number, public record, QR code, or other MAI information to appear in a listing.

MAI is not responsible for listing removal, account restrictions, reduced visibility, suspension, fees, losses, or other marketplace action resulting from your use of MAI information.

You must not falsely represent that:

• MAI is affiliated with or approved by a marketplace;
• an MAI Photo Grade was issued by another grading company;
• an MAI counterfeit screen guarantees authenticity;
• an MAI Holder is sealed or tamper-evident when it is not;
• an MAI record establishes legal ownership or provenance; or
• a third party guarantees or endorses an MAI result when it does not.

You may not knowingly:

• place an MAI Custom Grade Label on a different collectible;
• transfer an MAI serial number or QR code to a different collectible in a deceptive manner;
• materially alter an MAI grade or Details designation;
• create counterfeit MAI Holders, labels, serial numbers, or records;
• conceal information displayed on an MAI record in order to mislead another person;
• claim that a deactivated, superseded, questioned, or altered record is current;
• falsify an activation photograph; or
• use MAI to facilitate the sale of a counterfeit or reproduction as genuine.

Suspected reproductions, replicas, and counterfeits may be submitted to MAI for legitimate identification or research.

However, you may not use an MAI Holder, label, photograph, or record to remove, conceal, obscure, or circumvent any legally required marking on an imitation numismatic item, including any legally required “COPY” marking.

MAI may suspend, annotate, deactivate, or preserve evidence relating to records reasonably suspected of fraud, substitution, label manipulation, counterfeit use, or other misuse.

MAI may allow users to purchase or receive MAI Credits for use with eligible Services.

The number of Credits required for a Service will be displayed or otherwise communicated when the Service is requested.

MAI Credits:

• are a contractual right to obtain eligible MAI services under the applicable terms;
• are not legal tender;
• are not bank deposits;
• are not cryptocurrency;
• are not an investment;
• do not earn interest;
• have no cash surrender value except where required by law; and
• may not be resold, exchanged, or transferred except where MAI expressly permits.

Promotional, complimentary, referral, bonus, or other free Credits may have additional limitations, caps, expiration dates, eligibility restrictions, or promotional conditions.

Purchased Credits and promotional Credits may be treated differently.

A Credit intended to pay for Photo Grading is ordinarily consumed when the applicable Photo Grade is completed.

If a Photo Grade cannot be completed because of a technical failure attributable to MAI, MAI may retry the analysis or restore the applicable Credit.

MAI may reverse, cancel, or withhold Credits obtained through fraud, chargebacks, abuse, system manipulation, promotional abuse, or violation of these Terms.

Any expiration or refund rules applicable to purchased Credits will be disclosed at purchase or in the applicable Credit policy and remain subject to non-waivable consumer law.

Prices, Credit requirements, shipping charges, and other fees are those displayed at the time of purchase or submission and may change.

Unless otherwise stated, prices do not include applicable sales, use, excise, value-added, customs, or similar taxes.

You authorize MAI and its payment processors to charge the payment method you provide for your purchases, applicable taxes, shipping, and other disclosed charges.

You represent that you are authorized to use the payment method provided.

Payment processing may be provided by third parties whose separate terms and privacy policies may apply.

MAI may correct pricing or product-description errors before fulfillment. If MAI cancels a paid order because of such an error, MAI will refund the amount collected for the canceled portion of the order.

Digital and physical products are treated differently.

Completed Digital Services

Because a completed Photo Grade involves the immediate provision of computational and analytical services, fees or Credits for a completed Photo Grade are generally non-refundable except where:

• MAI expressly provides otherwise;
• MAI determines that a qualifying system error occurred; or
• a refund is required by applicable law.

Disagreement with an MAI grade, identification, Details determination, counterfeit-screening result, or another grading company’s later opinion does not by itself entitle you to a refund.

Physical Products

Returns of MAI Asset Holders, accessories, photography products, and other physical goods are governed by the Return Policy posted by MAI at the time of purchase.

Customized, printed, serialized, or collectible-specific Custom Grade Labels or Holder packages may be non-returnable after production except for manufacturing defects, fulfillment errors attributable to MAI, or as otherwise required by law.

Shipping charges may be non-refundable where permitted by law.

Nothing in these Terms eliminates rights that applicable consumer law does not permit MAI to waive.

“User Content” includes photographs, collectible images, descriptions, corrections, comments, information, files, and other material you submit through the Services.

You retain ownership of your User Content.

By submitting User Content, you grant MAI a non-exclusive, worldwide, royalty-free, sublicensable and transferable license to host, store, reproduce, process, crop, resize, analyze, modify for technical purposes, display, distribute, and otherwise use that User Content as reasonably necessary to:

• provide the Services;
• create and maintain MAI records;
• display public collectible records;
• operate QR and serial-number lookup systems;
• prevent fraud and abuse;
• protect MAI and its users;
• troubleshoot the Services;
• conduct research;
• develop, test, evaluate, and improve MAI’s software, artificial-intelligence systems, machine-learning models, reference databases, and grading methods; and
• otherwise operate and improve MAI.

For content included in a public MAI collectible record, this license survives closure of your account to the extent reasonably necessary to maintain the record and the historical integrity of the Service.

MAI does not claim ownership of your underlying collectible merely because its photographs or information appear in an MAI record.

You understand that information placed in a public record may be viewed, indexed, linked, screenshotted, archived, or copied by third parties outside MAI’s control.

Any processing of personal information is also subject to the MAI Privacy Policy and applicable law.

The Services and all MAI-created software, designs, grading systems, databases, algorithms, workflows, prompts, models, labels, graphics, trademarks, logos, text, page layouts, reports, and other proprietary material are owned by or licensed to MAI and are protected by applicable intellectual-property laws.

Subject to these Terms, MAI grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for legitimate personal or business collectible-related purposes.

Except where applicable law prohibits restriction, you may not:

• reverse engineer the Services;
• obtain or attempt to obtain source code;
• extract MAI models, prompts, weights, grading logic, or proprietary datasets;
• systematically scrape or harvest the Services;
• defeat security or rate limits;
• use automated means to access MAI without authorization;
• use MAI outputs to train or build a competing grading model through systematic extraction;
• reproduce MAI labels or security elements for deceptive purposes; or
• imply MAI sponsorship or endorsement without authorization.

“Mint Agent,” “MAI,” “MAI Photo Grading,” MAI logos, MAI Asset Holder branding, and other MAI marks are trademarks or claimed trademarks of Mint Agent Inc.

Third-party trademarks remain the property of their respective owners.

You agree not to use the Services to:

• violate applicable law;
• commit fraud or facilitate deception;
• knowingly misrepresent a collectible;
• submit stolen or unauthorized images;
• infringe intellectual-property, privacy, or publicity rights;
• manipulate photographs to obtain a misleading grade;
• interfere with MAI systems or security;
• distribute malware;
• attempt unauthorized access;
• create multiple accounts to circumvent limits or promotional rules;
• exploit errors, Credits, promotions, or pricing;
• overwhelm the Service through unauthorized automated requests;
• harass MAI employees or users;
• impersonate another person or entity;
• falsify ownership or authorization;
• counterfeit an MAI record, serial number, QR code, label, or Holder; or
• use an MAI result in a manner that materially misstates what MAI actually concluded.

MAI may investigate suspected misuse and cooperate with marketplaces, payment processors, intellectual-property owners, insurers, law enforcement, courts, or other appropriate parties where reasonably necessary and legally permitted.

MAI’s Privacy Policy explains how MAI collects, uses, stores, processes, and discloses personal information.

By using the Services, you acknowledge the practices described in the Privacy Policy.

MAI may use third-party infrastructure, cloud computing, payment, artificial-intelligence, analytics, communications, fraud-prevention, and other service providers in operating the Services.

Those providers may process information on MAI’s behalf as described in the Privacy Policy and applicable agreements.

The Services may contain references or links to third-party websites, marketplaces, grading companies, catalogues, price guides, databases, shipping providers, payment processors, or other services.

MAI does not control those third parties and is not responsible for their availability, policies, accuracy, content, products, or services.

References to third-party companies, marketplaces, grading services, trademarks, catalogues, grading terminology, or standards are provided for identification, comparison, interoperability, informational, or educational purposes and do not imply affiliation or endorsement.

MAI does not guarantee any specific processing or turnaround time unless expressly agreed in writing for a particular service.

Times displayed on the Site are estimates.

The Services may be unavailable or delayed because of:

• maintenance;
• software errors;
• model-provider outages;
• hosting interruptions;
• third-party service failures;
• unusually high demand;
• security incidents;
• network conditions;
• data-source outages;
• force majeure events; or
• other circumstances.

MAI may change, replace, retrain, improve, or discontinue technologies and features.

MAI may also discontinue support for particular collectible types or restrict submissions that cannot be reliably analyzed.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICES, PHOTO GRADES, COUNTERFEIT SCREENS, IDENTIFICATIONS, RECORDS, SERIAL LOOKUPS, ACTIVATIONS, HOLDERS, LABELS, ACCESSORIES, CONTENT, DATA, AND OTHER PRODUCTS OR SERVICES PROVIDED BY MAI ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

EXCEPT FOR AN EXPRESS PRODUCT-SPECIFIC WARRANTY PROVIDED BY MAI OR A WARRANTY THAT CANNOT LEGALLY BE DISCLAIMED, MAI DISCLAIMS ALL EXPRESS, IMPLIED, STATUTORY, AND OTHER WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, ACCURACY, COMPLETENESS, RELIABILITY, AVAILABILITY, SECURITY, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, MAI DOES NOT WARRANT THAT:

• ANY GRADE, IDENTIFICATION, ATTRIBUTION, COUNTERFEIT SCREEN, DETAILS DETERMINATION, MEASUREMENT, OR OTHER OUTPUT IS ERROR-FREE;
• A COLLECTIBLE IS AUTHENTIC;
• A COLLECTIBLE IS NOT AUTHENTIC;
• ANOTHER GRADING COMPANY WILL AGREE WITH AN MAI RESULT;
• A BUYER OR SELLER WILL ACCEPT AN MAI RESULT;
• A MARKETPLACE WILL ALLOW AN MAI GRADE OR HOLDER IN A LISTING;
• A COLLECTIBLE WILL HAVE ANY PARTICULAR VALUE;
• AN MAI HOLDER WILL PREVENT SUBSTITUTION, DAMAGE, TONING, ENVIRONMENTAL CHANGE, THEFT, OR TAMPERING;
• A PUBLIC RECORD WILL REMAIN AVAILABLE FOREVER; OR
• THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

SOME JURISDICTIONS DO NOT PERMIT SOME WARRANTY DISCLAIMERS. IN THOSE JURISDICTIONS, THE FOREGOING DISCLAIMERS APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAI AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, SERVICE PROVIDERS, LICENSORS, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING:

• LOST PROFITS;
• LOST REVENUE;
• LOSS OF BUSINESS;
• LOSS OF GOODWILL;
• LOSS OF DATA;
• LOSS IN COLLECTIBLE VALUE;
• LOST SALE OPPORTUNITIES;
• MARKETPLACE ACCOUNT ACTION;
• COSTS OF PROFESSIONAL REGRADING;
• DIFFERENCES BETWEEN AN MAI GRADE AND ANOTHER OPINION;
• RELIANCE ON A MISIDENTIFICATION OR MISSED COUNTERFEIT INDICATOR; OR
• DAMAGES ARISING FROM A PURCHASE, SALE, TRANSFER, STORAGE, HANDLING, OR INVESTMENT DECISION,

EVEN IF MAI HAS BEEN ADVISED THAT SUCH DAMAGES ARE POSSIBLE.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MAI’S TOTAL AGGREGATE LIABILITY ARISING FROM OR RELATING TO THE SERVICES, PRODUCTS, OR THESE TERMS WILL NOT EXCEED THE GREATER OF:

(A) $100; OR (B) THE TOTAL AMOUNT YOU PAID DIRECTLY TO MAI DURING THE 12 MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

THE LIMITATIONS IN THIS SECTION APPLY REGARDLESS OF WHETHER A CLAIM IS BASED ON CONTRACT, WARRANTY, TORT, NEGLIGENCE, STRICT LIABILITY, PRODUCT LIABILITY, STATUTE, OR ANY OTHER THEORY.

Nothing in these Terms limits liability that applicable law does not permit to be limited, including any applicable rights concerning personal injury, fraud, willful misconduct, statutory consumer protections, or other non-waivable rights.

To the extent permitted by law, any claim arising from or relating to the Services or these Terms must be commenced within one year after the claim accrued, or it will be permanently barred. This limitations period does not apply where applicable law prohibits contractual shortening of the limitations period.

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.

25.1 Informal Dispute Resolution

Before initiating arbitration, either party must first provide the other with written notice describing:

• the person’s name and account email;
• the nature and basis of the dispute;
• relevant transaction or MAI record information; and
• the specific relief requested.

The parties will attempt in good faith to resolve the dispute for at least 60 days after receipt of the notice.

Notice to MAI must be sent to the contact information in Section 30 with the subject or notation “LEGAL DISPUTE NOTICE.”

25.2 Agreement to Individual Arbitration

Except as stated below and except where prohibited by applicable law, any dispute, claim, or controversy arising out of or relating to:

• these Terms;
• the Services;
• an MAI Photo Grade or other result;
• a product purchase;
• advertising or marketing;
• pricing or Credits;
• an MAI record or Holder;
• communications with MAI;
• privacy or data practices; or
• any relationship between you and MAI

will be resolved through binding individual arbitration rather than in court.

The Federal Arbitration Act governs the interpretation and enforcement of this Arbitration Agreement.

Arbitration will be administered by the American Arbitration Association (“AAA”) under the applicable AAA Consumer Arbitration Rules then in effect, as modified by these Terms.

25.3 Exceptions

Either party may:

• bring an eligible individual claim in small claims court;
• seek temporary or preliminary injunctive relief in court when necessary to prevent immediate misuse or infringement of intellectual-property rights; or
• pursue a claim that applicable law expressly prohibits from being subject to mandatory arbitration.

25.4 Individual Proceedings Only

YOU AND MAI AGREE THAT CLAIMS MAY BE BROUGHT ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF, CLAIMANT, OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, PRIVATE ATTORNEY GENERAL, OR REPRESENTATIVE PROCEEDING, TO THE MAXIMUM EXTENT PERMITTED BY LAW.

Unless both parties agree otherwise, an arbitrator may not consolidate the claims of more than one person.

25.5 Jury Trial Waiver

YOU AND MAI EACH WAIVE THE RIGHT TO A TRIAL BY JURY TO THE MAXIMUM EXTENT PERMITTED BY LAW.

If a dispute is determined not to be subject to arbitration, this jury-trial waiver will apply to any court proceeding to the maximum extent permitted by law.

25.6 Arbitration Fees and Procedure

Arbitration fees will be allocated according to the applicable AAA Consumer Arbitration Rules and applicable law.

The arbitrator may award any individual remedy that would be available in court under applicable law.

The arbitration may be conducted through written submissions, telephone, videoconference, or an in-person hearing as permitted under the applicable rules.

25.7 Right to Opt Out

You may opt out of this Arbitration Agreement by sending MAI written notice within 30 days after the date you first accept these Terms.

Your notice must include:

• your full name;
• the email address associated with your MAI account;
• your mailing address; and
• a clear statement that you are opting out of the Arbitration Agreement in the Mint Agent Inc Terms of Service.

Send the notice to MAI at the address in Section 30 and, where possible, by email with the subject “ARBITRATION OPT OUT.”

Opting out of arbitration will not affect the remaining provisions of these Terms.

25.8 Severability

If a portion of this Arbitration Agreement is found unenforceable, it will be severed to the minimum extent necessary and the remainder will continue in effect, except that if the prohibition on class or representative arbitration is found unenforceable with respect to a particular claim and cannot legally be severed, that claim will proceed in court rather than class arbitration.

To the extent permitted by applicable law, you agree to defend, indemnify, and hold harmless MAI and its affiliates, officers, directors, employees, contractors, agents, licensors, and service providers from claims, liabilities, losses, damages, judgments, costs, and reasonable attorneys' fees arising out of or relating to:

• your violation of these Terms;
• your User Content;
• your violation of another person's intellectual-property, privacy, publicity, or other rights;
• your deceptive or fraudulent use of an MAI grade, record, Holder, label, QR code, or serial number;
• your manipulation of submitted photographs;
• your violation of marketplace rules or applicable law;
• your sale or representation of a collectible to another person;
• your misuse of a counterfeit, reproduction, or imitation item; or
• your use of the Services in connection with unlawful activity.

This provision does not require a consumer to indemnify MAI for MAI's own conduct where such indemnification is prohibited by law.

MAI may suspend, restrict, or terminate an account or access to all or part of the Services where MAI reasonably believes that:

• these Terms have been violated;
• fraud or abuse has occurred;
• an account presents a security risk;
• payment remains unpaid;
• a chargeback is abusive or fraudulent;
• MAI records or labels are being misused;
• counterfeit or manipulated records are being created;
• continued access could expose MAI or another person to legal or security risk; or
• suspension or termination is required by law.

You may stop using the Services at any time.

Account termination does not necessarily require MAI to delete public MAI records associated with collectibles, because maintenance of persistent collectible records is part of the Service.

Provisions that by their nature should survive termination—including intellectual-property rights, User Content licenses relating to persistent records, warranty disclaimers, limitations of liability, indemnification, and dispute-resolution provisions—will survive.

MAI may update these Terms as its Services, products, technology, or legal obligations change.

MAI will post the updated Terms and update the “Last Updated” date.

Where required by law or where a change materially affects your rights, MAI may provide additional notice.

Material changes to the Arbitration Agreement will not become effective until at least 30 days after notice is provided. MAI will provide any opt-out rights required by applicable law in connection with such changes.

Your continued use of the Services after revised Terms become effective constitutes acceptance of the revised Terms.

If you do not agree to revised Terms, you must stop using the Services.

Governing Law

Except for the Federal Arbitration Act, applicable federal law, and non-waivable consumer protections, these Terms are governed by the laws of the State of California, without regard to conflict-of-law principles.

For disputes that are not subject to arbitration, you and MAI consent to the jurisdiction of the applicable state and federal courts located in Orange County, California, except where applicable consumer law gives you the right to bring a proceeding elsewhere.

Entire Agreement

These Terms and the policies incorporated by reference constitute the entire agreement between you and MAI concerning the subject matter addressed here and supersede prior or contemporaneous agreements concerning that subject matter.

Severability

If any provision is found invalid or unenforceable, it will be enforced to the maximum extent permitted and the remaining provisions will continue in effect.

No Waiver

Failure by MAI to enforce a provision does not waive MAI's right to enforce it later.

Assignment

You may not assign your contractual rights under these Terms without MAI's written consent.

MAI may assign these Terms in connection with a merger, acquisition, financing, corporate reorganization, sale of assets, or transfer of the Services.

Assignment of these Terms does not itself determine ownership of a collectible associated with an MAI record.

No Agency

Nothing in these Terms creates a partnership, joint venture, fiduciary relationship, employment relationship, franchise, or agency relationship between you and MAI.

Force Majeure

MAI will not be responsible for delay or failure resulting from circumstances reasonably beyond its control, including natural disasters, war, civil disturbance, labor disruption, internet or utility failures, cyberattacks, government action, shipping interruption, equipment failure, or failure of third-party technology providers.

Electronic Communications

You agree that MAI may provide agreements, notices, disclosures, receipts, and other transactional communications electronically, including through the Site, your account, or the email address associated with your account, subject to applicable law.

No Third-Party Beneficiaries

Except where expressly stated, these Terms do not create rights in third parties.

By using the Services, purchasing MAI Credits or products, submitting photographs, obtaining an MAI Photo Grade, creating an MAI record, or using an MAI Asset Holder or Custom Grade Label, you acknowledge that you have read, understood, and agreed to these Terms.

You further acknowledge the fundamental nature of MAI Photo Grading:

MAI analyzes photographs. The collectible ordinarily remains in the owner's possession. An MAI grade is an image-based condition opinion; counterfeit screening evaluates visible indicators; an MAI record documents the analyzed collectible; and an MAI Asset Holder is an optional, removable physical product. None of these services eliminates the need for independent judgment or physical professional authentication when the circumstances warrant it.
